Terms of Service

Universal Learning is operated by Let's Learn, Nemo!, a sole proprietorship based in Massachusetts ("we," "us," "our"). These terms are the agreement between you and us for your use of universal-learning.studio (the "platform").

By creating an account or using the platform, you agree to these terms. If you do not agree, do not use the platform.

Our Privacy Policy explains what we collect and is part of this agreement.

1. Who may use the platform

You may use the platform if you are at least 13 years old.

If you are under 18, you may use the platform only with the permission of a parent or legal guardian. By creating an account, you confirm that you have that permission. For any course we offer directly, the parent or guardian is the person agreeing to these terms on your behalf and is responsible for them.

A parent or guardian who permits a student under 18 to use the platform agrees to these terms, is responsible for that student's use of it, and may contact us at any time to review or close the account.

If you are creating an account on behalf of a school, you confirm you are authorized to do so.

2. Your account

Accounts are created by signing in with Google. You agree to:

  • Give accurate information, including the name your instructor will use to identify you
  • Keep your account to yourself — do not share your sign-in with anyone
  • Tell us promptly if you believe someone else has accessed your account

One person, one account. Do not create an account for someone else or pretend to be someone you are not.

Teacher accounts start as student accounts and become teacher accounts only after an administrator approves the request.

3. Enrolling in a course

Courses on the platform are called constellations. To join one, you submit a request and the instructor approves or declines it. Approval is at the instructor's discretion, and an instructor may decline a request or remove you from a course.

Some courses require an email address from a particular institution. Requesting enrollment in a course you are not eligible for is not a violation of these terms — the instructor will simply decline it — but repeatedly submitting requests to courses you are not part of is.

4. Acceptable use

Do not:

  • Cheat. Do not submit work that is not yours, use unauthorized assistance on an assessment, or help someone else do either. Academic integrity is decided by your instructor and, where applicable, your school.
  • Redistribute assessment content. Do not copy, post, or share questions, answer keys, or course materials outside the course. Generated questions, problem sets, and their solutions are ours or the instructor's.
  • Attack the platform. No scraping, automated access, probing for vulnerabilities, circumventing access controls, or attempting to reach data that is not yours.
  • Upload anything unlawful, malicious, or that infringes someone else's rights, or anything harassing, threatening, or abusive to another user.
  • Misrepresent yourself or attempt to access another person's account.

If you find a security vulnerability, tell us before telling anyone else. We will not pursue anyone who reports a problem in good faith and gives us a reasonable chance to fix it.

5. Course content and your work

Our content stays ours. Course materials, question banks, generated problems, plots, rubrics, and the platform itself belong to Let's Learn, Nemo! or to the instructor who created them. You may use them for your own study while you are enrolled. You may not republish, sell, or distribute them.

Your work stays yours. You keep ownership of the work you submit. You give us a limited license to store, display, and process it as needed to run the course — to show it to your instructor, score it, and include it in your grade record. That license exists so the platform can function; it does not let us publish your work or use it for anything else.

We do not use student work to train machine-learning models.

6. Courses run through a school

Where a course is offered through a college, university, or school, that institution's policies also apply — including its academic integrity rules, its grading policies, and its handling of student records.

Academic decisions belong to the instructor and the institution, not to us. We do not set grades, adjudicate integrity cases, or resolve academic disputes. Raise those with your instructor or your school.

7. Courses we offer directly

The platform does not currently process payments. Where we offer a course directly, the price, schedule, refund terms, and enrollment conditions are given to you in writing before you enroll, and those terms govern that course alongside these.

We do not guarantee an academic outcome. No course on this platform guarantees a grade, a test score, an admission result, or any other outcome. Anything you may have read describing typical results is a description of past students, not a promise about you.

8. The open tools

The tools at /tools are free, require no account, and run entirely in your browser. Files you open in them are never uploaded to us.

They are provided as-is for teaching and learning. Do not rely on them for anything consequential without checking the result. They may change or disappear without notice.

9. Availability

The platform is built and run by one person. We work to keep it available and correct, but we do not promise uninterrupted service, and we may take it down for maintenance, change how features work, or discontinue features.

If an outage affects an assignment deadline, talk to your instructor — deadline relief is an instructional decision, and instructors can extend or excuse work.

10. Ending your use

You may stop using the platform and ask us to close your account at any time.

We may suspend or close an account that violates these terms, that is used to harm another user, or where we are required to. Where a course is run through a school, we will coordinate with the school before closing a student account, and the school's record-retention rules apply to the coursework left behind.

Closing your account does not automatically erase your coursework from a course you completed — see Section 10 of the Privacy Policy for how records are archived and removed.

11. Disclaimers

The platform is provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the platform will be error-free, that scoring will be free of defects, or that data will never be lost. Keep your own copy of work that matters to you.

12. Limitation of liability

To the fullest extent permitted by law, Let's Learn, Nemo! will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost data, lost opportunities, or academic consequences arising from your use of the platform.

Our total liability for any claim relating to the platform will not exceed the greater of (a) the amount you paid us for the course the claim relates to in the twelve months before the claim, or (b) one hundred dollars.

Some states do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to hold Let's Learn, Nemo! harmless from claims arising out of your misuse of the platform, your violation of these terms, or your violation of someone else's rights. If you are a parent or guardian agreeing on behalf of a student under 18, this applies to that student's use as well.

14. Governing law

These terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Suffolk County, Massachusetts, and you agree to their jurisdiction.

Nothing here prevents either of us from seeking relief in small claims court.

15. Changes to these terms

We may update these terms. If a change is significant, we will update the effective date above and post a notice on the site. Continuing to use the platform after a change means you accept the updated terms.

16. The rest

If any part of these terms is found unenforceable, the rest stays in force. Our not enforcing a provision does not waive it. These terms, together with the Privacy Policy and any written terms for a specific course, are the entire agreement between us.
